Terms of Service

1. Parties and acceptance

These Terms of Service ("Terms") are entered into between you and Quota Talent Ltd ("Quota AI", "we", "us"), a company registered in England and Wales with its registered office at 20 Wenlock Road, London, N1 7GU, United Kingdom.

By creating a Quota AI account, or by using Quota AI, you agree to these Terms.

2. The service

Quota AI is recruitment software that provides AI-assisted candidate and company sourcing, candidate and client management, contact enrichment, outreach and submission drafting, client invoicing, and related tools. Quota AI is a tool to support your recruiting work; it does not guarantee any hire, placement, or other recruitment outcome.

3. Accounts and eligibility

Quota AI is intended for business and professional use. You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Your responsibility for candidate and client data

You are responsible for ensuring you have the necessary rights and a lawful basis to upload, import, source, store, enrich, use and contact any candidate, client or prospect data you process through Quota AI, and for complying with applicable data protection, privacy, marketing and employment laws in doing so. Quota AI provides tools to help you source, manage and act on this information -- it does not make your compliance decisions for you, and you remain responsible for how you use the service and the data within it.

5. Acceptable use

You agree not to use Quota AI to:

  • Break the law, including laws governing personal data, marketing or employment.
  • Harass, spam, or send unsolicited communications through means the service does not itself provide.
  • Scrape, misuse, or unlawfully obtain personal information.
  • Infringe intellectual property or other rights.
  • Introduce malware, or attempt to compromise the security of the service.
  • Share account credentials, or attempt to access the service or another customer's data without authorisation.
  • Attempt to bypass usage limits, security controls, or other restrictions built into the service.

6. AI-generated output

Quota AI uses AI to extract, score, rank, and draft content, including candidate assessments, outreach messages and client submissions. AI-generated content may be incomplete or inaccurate. Scores, recommendations and drafted text are provided to assist you, not as guarantees, and you must independently review them before relying on or acting on them. You remain responsible for your own recruitment and employment-related decisions.

7. Intellectual property

Quota Talent Ltd owns Quota AI's software, branding and underlying technology. Nothing in these Terms transfers that ownership to you.

You retain the rights you have in the data and content you provide to Quota AI, including candidate, client and job information. By using the service, you grant Quota Talent Ltd the limited rights necessary to host, process and use that data to provide the service to you.

8. Subscriptions and billing

Quota AI plans are paid subscriptions, billed on a recurring basis according to the plan you select, through our payment processor, Stripe. Pricing is shown to you at the time of purchase or plan change. You are responsible for all applicable charges and taxes. You can change plans through your account's billing settings, subject to the options the service makes available.

9. Cancellation

You can cancel your subscription at any time through your account's billing settings. Cancellation takes effect according to the billing period and status shown to you by the service and by Stripe at the time you cancel.

10. Refunds

Except where required by applicable law, subscription payments are non-refundable.

11. Suspension and termination

We may suspend or terminate your access to Quota AI where reasonably necessary, including for non-payment, unlawful use, material breach of these Terms, or conduct that poses a security or abuse risk to the service or other customers.

12. Service availability

Quota AI may change over time, and may experience interruptions or periods of unavailability. We do not guarantee uninterrupted or error-free operation of the service.

13. Third-party services

Quota AI relies on third-party infrastructure and service providers (see our Privacy Policy for the current list) to operate. We do not guarantee the availability, accuracy or performance of third-party services.

14. Disclaimer

To the extent permitted by law, Quota AI is provided on an "as available" basis, without warranties of any kind. Search, sourcing, enrichment and AI-generated results are not guaranteed to be complete, accurate or up to date. You should exercise your own professional judgment when using information or output from the service.

15. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to that, to the extent permitted by law: we are not liable for indirect or consequential losses; and our total aggregate liability to you arising out of or in connection with these Terms or your use of Quota AI is limited to the fees you paid or payable to us in the 12 months before the event giving rise to the claim.

16. No recruitment outcome guarantee

Quota AI does not guarantee hires, placements, candidate responses, candidate availability, the accuracy of candidate or company information, revenue, or any other recruitment outcome.

17. Deleting your data and account

You can delete data and your account or organisation using the functionality available within Quota AI. Deletion may be irreversible, and we cannot guarantee that data can be recovered once deleted.

18. Changes to these terms

We may update these Terms as Quota AI evolves. Material changes will be reflected by updating the date above; continued use of the service after an update constitutes acceptance of the revised Terms.

19. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms or your use of Quota AI, subject to any mandatory rights you may have to bring proceedings in your own jurisdiction that cannot be excluded by agreement.
